Biddingmotors.com Marketplace Agreement
Welcome to Biddingmotors.com. By accessing our platform, placing bids, listing vehicles, or submitting transactions, you agree to comply with and be bound by the following platform protection rules and operational terms.
Section 1: Platform Role and Limitation of Liability
1.1 Marketplace Only: Biddingmotors.com operates strictly as an online peer-to-peer and dealer-to-peer venue connecting buyers and sellers of cars, trucks, and commercial vehicles. Biddingmotors.com is not a car dealer, vehicle broker, or traditional auction house. We do not take legal title to any vehicle, physically inspect listings, or act as an agent for either buyers or sellers.
1.2 Independent Contracts: The actual contract for sale is directly between the Buyer and the Seller. Biddingmotors.com is not a party to that transaction and bears no responsibility or liability for vehicle condition, title accuracy, safety, or fulfillment failure by either party.
Section 2: Membership Tiers & Fee Structure
2.1 Buyer Fees:Upon the close of a winning auction, the Buyer agrees to pay Biddingmotors.com a non-refundable buyer's fee based on their account status at the time of the auction close:
- Registered Members: 2.5% of the final winning bid amount (minimum $500, maximum $5,000).
- Non-Members: 3.5% of the final winning bid amount (minimum $500, maximum $5,000).
2.2 Seller Commissions & Listing Limits:
- Listings: Sellers are entitled to up to five (5) free active vehicle listings simultaneously unless upgraded to a paid professional or commercial dealer tier.
- Seller Commission: Registered Member sellers pay 0% commission upon the successful sale of a vehicle. Non-member sellers pay a 1.5% seller commission deducted from the final sale price upon completion of the transaction.
Section 3: Payment Terms, Wires, and Fund Routing
3.1 Instant Fee Collection: The Buyer authorizes Biddingmotors.com to immediately charge their credit or payment card on file via our third-party payment processor (Stripe) for the applicable buyer fee (2.5% or 3.5%) the moment an auction concludes.
3.2 Vehicle Balance Payments: The remaining balance of the vehicle purchase price must be paid by the Buyer via direct wire transfer or ACH sent strictly to Biddingmotors.com’s designated corporate business bank account within the timeframe specified in the auction listing (typically 2 to 3 business days).
3.3 Dealer/Seller Payouts: Biddingmotors.com holds incoming vehicle balance funds as an intermediary facilitator. Once the Buyer and Seller confirm successful vehicle handover and title transfer (or verification documentation is submitted), Biddingmotors.com will disburse the net balance to the Seller’s designated corporate or personal bank account, minus any applicable non-member commissions. Biddingmotors.com does not act as a licensed escrow agent or money transmitter.
Section 4: Title Transfer and Ownership Verification
4.1 Clear Title Guarantee: The Seller warrants and represents that they are the lawful owner of the vehicle (or a licensed dealership legally authorized to sell it), that the vehicle is free and clear of all liens, encumbrances, and security interests (unless explicitly disclosed and agreed to in writing prior to bidding), and that they possess a valid, transferable title.
4.2 Title Handover Process: Upon receipt of the vehicle balance in Biddingmotors.com’s corporate business account, the Seller must execute the title transfer in accordance with local state/national motor vehicle laws. This includes completing the assignment section of the title, providing a signed Bill of Sale, and releasing any necessary odometer disclosure statements to the Buyer.
Section 5: Vehicle Inspection and Handover Period
5.1 Physical Inspection at Delivery: Upon taking physical possession or delivery of the vehicle, the Buyer is solely responsible for inspecting the vehicle to verify that its condition matches the listing description provided on Biddingmotors.com.
5.2 Handover Confirmation: Within forty-eight (48) hours of physical delivery or vehicle pickup, both the Buyer and Seller must log into their Biddingmotors.com dashboard and digitally confirm that the vehicle handover has been successfully completed.
Section 6: Disbursement of Funds, Holds, and Dispute Policies
6.1 Release Trigger: Biddingmotors.com will hold the vehicle purchase balance in its corporate business account until one of the following conditions is met:
- (a) Both Buyer and Seller submit electronic confirmation of successful vehicle handover and title transfer through the platform dashboard; or
- (b) The expiration of a seventy-two (72) hour grace period following documented delivery (via shipping receipt or digital sign-off) during which the Buyer has raised no formal, documented dispute regarding title or vehicle misrepresentation.
6.2 Dispute and Holdback Policy: In the event of a legitimate dispute regarding title clearance or severe undisclosed mechanical/structural misrepresentation, Biddingmotors.com reserves the right to freeze the disbursement of funds until the Buyer and Seller resolve the dispute or provide a binding legal resolution. Biddingmotors.com is not responsible for mediating disputes, does not act as an arbitrator of vehicle condition, and assumes no liability for funds once legally disbursed to the Seller.
Section 7: User Conduct, Defaults, and Prohibited Transactions
7.1 Accurate Information: All users—including individual private sellers and licensed commercial dealerships—must provide accurate, verifiable identity and business details (including EIN or government identification) during registration.
7.2 Prohibited Off-Platform Transactions: Users are strictly prohibited from using Biddingmotors.com to establish contact for the purpose of completing a vehicle sale outside of the platform to evade fees. Doing so will result in immediate account termination, forfeiture of membership privileges, and potential recovery of platform damages.
7.3 Buyer Default ("Ghost Buyer"): If a winning bidder fails or refuses to wire the remaining vehicle balance within the designated timeframe (typically 3 business days), the upfront buyer fee charged via Stripe is permanently forfeited as a default and relisting penalty to cover platform costs and compensate the seller.
7.4 Seller Default ("Ghost Seller"):If a seller fails to deliver the vehicle or clear the title after the buyer's balance has been received, Biddingmotors.com reserves the right to issue a 100% refund of the vehicle balance back to the buyer from the corporate account and permanently ban the seller's account.
Section 8: Taxes, Registration & Titling Fees
Biddingmotors.com is strictly a venue for vehicle auction matches and does not collect or remit state or local sales taxes on vehicle purchase transactions. The buyer is solely responsible for determining, paying, and remitting all applicable sales, use, excise, title, and registration taxes or fees directly to their state DMV or taxing authority upon vehicle registration.
Section 9: Indemnification
By participating on Biddingmotors.com, you agree to indemnify, defend, and hold harmless Biddingmotors.com and its operators from any claims, damages, liabilities, or legal expenses arising from your listings, bids, off-platform communications, or failure to fulfill vehicle purchase and title handover agreements.
